Buyers Terms & Conditions

TERMS AND CONDITIONS OF ATTENDANCE AT WABEL EVENT FOR BUYERS

Wabel’s activity consists of bringing together buyers, suppliers, manufacturers, distributors, importers and service providers from around the world in order to create sourcing opportunities, business partnerships and commercial relationships.

For such purpose, Wabel organizes business meetings, conferences, networking sessions and related activities (the “Wabel Event”).

The Buyer wishes to participate in a Wabel Event and the Parties have therefore entered into this Agreement.

“Agreement”: means these Terms and Conditions and any specific participation terms communicated by Wabel.

“Buyer”: means the individual attending the Wabel Event on behalf of a retailer, distributor, importer, wholesaler, foodservice operator, e-commerce operator, marketplace, service provider or other organization.

“Supplier”: means any supplier, manufacturer, brand owner or service provider participating in the Wabel Event.

“Platform”: means the Wabel Platform and/or Needl Platform used in connection with the Wabel Event.

“Wabel Event”: means any summit, meeting program, sourcing event, conference, networking event or related activity organized by Wabel.

Participation is subject to approval by Wabel.

The Buyer undertakes to provide complete, accurate and up-to-date information.

Wabel reserves the right, at its sole discretion, to accept or refuse any registration application.

The Buyer agrees to actively participate in the Wabel Event and attend the meetings confirmed in the schedule provided by Wabel.

The Buyer shall use reasonable efforts to attend all confirmed meetings and notify Wabel as soon as possible in the event of delay, cancellation or inability to attend.

Wabel shall use reasonable efforts to organize meetings between Buyers and Suppliers based on sourcing interests and business objectives.

Meeting schedules may be modified at any time due to operational constraints, participant availability or other circumstances.

Wabel does not guarantee any specific number of meetings, business opportunities, sourcing results, contracts, commercial outcomes or return on investment.

Travel and accommodation arrangements may be facilitated, arranged and/or funded by Wabel at its sole discretion and on a case-by-case basis.

Where Wabel incurs costs on behalf of the Buyer in connection with participation in the Wabel Event, including but not limited to flights, accommodation, transfers, visa-related expenses or other travel-related costs, Wabel reserves the right to recover such costs from the Buyer and/or the Buyer’s employer in the event of cancellation, non-attendance, early departure or material failure to participate in the Event, unless otherwise agreed in writing by Wabel.

The Buyer shall notify Wabel as soon as possible of any cancellation.

Wabel reserves the right to recover any reasonable costs incurred as a result of late cancellation or non-attendance where such costs have been incurred specifically for the Buyer’s participation.

Wabel may, where reasonably necessary for operational, commercial or organizational reasons, modify the venue, city, dates, programme, format or duration of the Wabel Event.

Wabel shall use reasonable efforts to inform participants of such modifications as soon as reasonably practicable.

Such modifications shall not, in themselves, constitute grounds for compensation.

Access to and use of the Platform shall be governed by the applicable Needl Terms & Conditions.

The obligations borne by Wabel are best-efforts obligations.

Wabel shall only be liable for direct damages resulting from its proven fault and shall not be liable for indirect, consequential, incidental or special damages, including loss of profit, loss of business, loss of opportunity or loss of goodwill.

Wabel shall not be liable for any delay, modification, postponement or cancellation resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, epidemics, political events, transportation disruptions, governmental restrictions or security concerns.

Wabel may terminate or suspend the Buyer’s participation immediately in the event of misconduct, inappropriate behaviour, repeated failure to attend scheduled meetings or breach of these Terms and Conditions.

These Terms and Conditions shall be governed by French law.

Any dispute arising out of or in connection with these Terms and Conditions shall fall within the exclusive jurisdiction of the Paris Commercial Court.
